For valuable consideration, the receipt and sufficiency of which are hereby acknowledged, I hereby grant to Ohio Recovery Housing and Webster Park Digital LLC, and their successors, assigns, subcontractors and licensees (collectively, "Producers") the absolute and irrevocable right to film and photograph me and to record by any other manner or means (both audiovisual and audio-only recordings) my name, likeness, voice, appearances, statements, interviews, actions, performances, and any other activities (collectively, "Appearances") and any personal property made available by me to Producers (e.g., photographs, video clips) ("Property"), together with my biographical information, for use in and in connection with the Production (all such recordings, photographs, and reproductions of me, my Property, and my biographical information, collectively, the "Recordings"). As used herein, "Production" means that certain audiovisual work or works, the subject matter of which is recovery housing and those who advocate for them in personal and professional capacities. Producers may record, reproduce, exhibit, distribute, and otherwise use and utilize the Recordings in and in connection with the Production (including in "behind-the-scenes" and "making of" footage), and for the purpose of promotion, advertising, sale, re-creations of events in connection with the Production and otherwise, in any form, manner, or medium, whether now known or hereafter created or devised (including on websites and social media), an unlimited number of times, throughout the universe in perpetuity. I understand and acknowledge Producers may edit the Recordings in Producers's sole discretion and without my approval, including, but not limited to, editing my image or appearance and displaying or otherwise utilizing the Recordings in a different sequence or context from which they were recorded. Producers is under no obligation to produce, use, display, or otherwise utilize any of the Recordings, and Producers may change the title of the Production at any time in Producers's sole discretion. All rights, title, and interests in and to the Recordings will vest exclusively in Producers. Producers may assign or sublicense any or all of the rights granted herein, including ownership of the Recordings, to any third party at any time in Producers's sole discretion.

I represent and warrant to Producers (a) that I have certain ownership and/or rights of possession respecting the Property as owner, lessee, or agent for the owner, and I have the full right, authority, and legal capacity to enter into this Release and to grant the rights conveyed herein, (b) any statements made by me in the Recordings are true and accurate to the best of my knowledge and belief, and neither they nor my other Appearances or Property embodied in the Recordings violate or infringe the rights of any other person or entity, and (c) that if a minor child is depicted in the Recordings, that I am either a parent or the legal guardian of the minor child, and that I have full authority to enter into this Release on the minor child's behalf. I agree to indemnify and hold Producers and Producers's parent and subsidiary entities, affiliates, successors, assigns, and licensees, and the officers, directors, employees, contractors, and agents of all of the foregoing (collectively, "Indemnitees") harmless from and against any and all third-party claims, losses, demands, costs, and expenses (including reasonable attorneys' fees and court costs) incurred by Producers and/or any of the other Indemnitees at any time arising out of or relating to any breach or alleged breach by me of the representations, warranties, or covenants made by me herein.

I understand there may be risks associated with the making of the Recordings and the publication and distribution of the Production, and I hereby voluntarily assume any and all such risks. I, on behalf of myself, my heirs, representatives, executors, and administrators (collectively, "Releasors") hereby absolutely, irrevocably, and unconditionally forever release, waive, discharge, and agree not to sue Producers or any of the other Indemnitees for or in connection with any loss, damage, liability, cause of action, claim, or demand arising out of or relating to any personal or psychological injury, illness (including Coronavirus/Covid-19), death, property damage or other loss, infringement of rights of publicity or misappropriation (such as any alleged improper or unauthorized use of the Recordings), intrusion (such as any allegedly offensive behavior or questioning or any invasion of privacy), false light (such as an allegedly false or misleading portrayal of me), infliction of emotional distress (whether allegedly intentional or negligent), defamation (including libel and slander), or infringement of intellectual property rights, including copyright, trademark, trade secrets, service marks, patents, and any other state or federally-protected rights and interests, that any of the Releasors may suffer or claim to suffer now or in the future arising out of or relating to the Recordings, Producers's use thereof, and/or my Appearances therein. I hereby waive any right to seek to enjoin, restrain, interfere with, or inhibit the production, publication, distribution, broadcast, sale, or other use or utilization of the Production or other publication, work, or material that incorporates the Recordings or any parts thereof.

IN NO EVENT WILL Producers OR ANY OTHER PARTY BE LIABLE TO ME FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR SPECIAL DAMAGES, HOWEVER CLAIMED TO BE CAUSED, WHETHER UNDER THEORY OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE ARISING OUT OF OR RELATING IN ANY WAY TO THE PRODUCTION, THE RECORDINGS, OR THIS RELEASE.

I agree to keep strictly confidential all information or knowledge witnessed, learned, received, or otherwise acquired regarding the Production, except such information may be disclosed as, but only to the extent, required to comply with applicable law or in confidence to my attorney, agent, or other advisers on a need-to-know basis. I agree to not use any names, trademarks, service marks, or logos of the Production or Producers in any manner without Producers's prior written approval.

If any part of this Release is determined by a court of competent jurisdiction to be invalid or unenforceable, then such determination will not affect the validity or enforceability of the remainder of this Release. This Release will bind and inure to the benefit of the parties and their respective heirs, executors, administrators, representatives, successors, assigns, and licensees, as applicable. This Release contains the entire understanding between the parties with respect to the subject matter hereof, and supersedes and replaces any prior oral or written agreements or understandings between the parties with respect to the subject matter hereof. This Release may only be modified by a written agreement signed by both parties. This Release will be governed by and construed in accordance with the laws of the state of Texas applicable to agreements that are executed and fully performed therein. Any action or proceeding arising out of or relating to this Release shall be resolved exclusively in the courts located in the state of Texas.

I acknowledge and agree that in entering into this Release I have not relied on or been induced by any promise or representation (express or implied, oral or written) of Producers or any person acting for Producers or otherwise involved in the Production which is not contained in this Release. I affirm that neither I, nor anyone acting for me, gave or agreed to give anything of value to Producers or any party associated with the Production for arranging my appearance in the Production.

I, ON BEHALF OF MYSELF OR MY MINOR CHILD (IF APPLICABLE), ACKNOWLEDGE THAT I HAVE READ AND UNDERSTAND THIS RELEASE, AND AGREE THAT I (OR MY MINOR CHILD) WILL BE LEGALLY BOUND HEREBY.
